TN, SC, NC and CA are the leaders in promissory note fraud. But it is spreading nation wide. Your promissory note has the value of toilet paper and the Fund more than likely has not file with the SEC for a RED D exemption. This is a scam. These types of investments are in direct violation of the laws of both the SEC  and the state you reside in. Report these scams to the FBI - 305-944-9101, DOJ, CFTC - 202-418-5000  and SEC - 202 551-3500 and the Division of Securities in the state you reside.
 
The Promissory Note..... A.K.A. Toilet paper
 
A Promissory Note IS a security and strictly regulated by both the SEC and the Division of Securities where the promissory note was issued as well as the state where the company issuing the note is incorporated. Anyone that tells you differently is lying to you. Call the SEC or the state division of securities where you live. Even better do this as a 3 way call with the scammer. Scams WONT deal with the SEC or state regulators. These types of violations of the Securities Act are criminal and carry long prison sentences as well as fines and the seizer of assets both corporate and individual. A scammer will NEVER do a 3 way call with a regulator. NEVER!
 
Forex Pools.....  Save time, just give the money to your broker. .
 
Regulated by the SEC if they cross state lines. Forex pools MUST file with the SEC for an exemption from registration IF the pool solicits across state lines from where the company is incorporated. All states have very strict requirements governing these types of investments. A legitimate Forex pool will provide a disclosure document with required SEC and State disclaimers. This document is on average 40 to 200 pages long.
 
Generally, non-accredited investors are restricted from participation in these investments. Pools are restricted by the SEC to a maximum aggregated dollars for that investment. For example a REG D 506 exempt pool may only have a maximum of 35 non-accredited investors and an unlimited number of accredited investors. A REG D 504 may have unlimited non-accredited investors but is restricted to a maximum investment of all investors in the pool of $1,000,000.
 
Both REG D 506 exempt pools and REG D 504 exempt pools are Restricted and Regulated by both the SEC and THE STATE WHERE YOU RESIDE. 
In many states it is illegal to solicited a non-accredited investor.....period. No exceptions.
